By purchasing from EGI Battery, Inc. the Customer agrees to the following:
Orders & Acceptance: All sales are subject to EGI Battery, Inc.’s written acceptance. Conflicting terms in customer orders are not accepted unless explicitly agreed upon in writing.
Pricing & Payment (unless otherwise specified): Prices exclude taxes and duties. Full payment is due upfront unless credit terms are pre-approved. Delays in payment may incur interest charges. Prices may be adjusted for deliveries over 90 days out.
Shipping & Delivery: Delivery terms are EXW (Incoterms 2020). Dates are estimates only. Risk during shipping is the Customer’s responsibility.
Cancellations & Delays: Orders are non-cancellable and non-refundable. Pull-ins depend on availability; push-outs over 180 days may incur a penalty.
Warranty: Products are warranted for 12 months against defects if used and handled per specifications. The warranty is void if misused, altered, or improperly stored.
Customer Warranty: Products are not for resale to individual consumers and must only be handled by system integrators or pack makers.
Claims: Product issues must be reported within 30 days of receipt. EGI Battery, Inc. may inspect, repair, replace, or refund per its sole discretion.
Liability: EGI Battery, Inc. is not liable for indirect or consequential damages. Remedies are limited to repair, replacement, or refund.
Returns: Returns require prior written agreement and may incur charges.
Indemnity: Customer agrees to defend and indemnify EGI Battery, Inc. from misuse or resale violations.
Confidentiality: All quotes and specifications are confidential.
Disputes: Governed by Delaware law and resolved via mediation or binding arbitration per the Delaware Rapid Arbitration Act.
Patents: No patent rights are granted beyond product sale.
